These Terms & Conditions (the “Terms”) govern your access to, and use of, the services provided by Wapiverse Technologies (The “Company”). By using our website, platform and/or any related services (the “Service”), you (the “User”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use the Service.

1. Services Provided

Wapiverse provides a platform for WhatsApp/Social Media-based messaging/automation, business outreach, Modern CRM, etc. You agree to use the Service only for permitted purposes and in compliance with these Terms and all applicable laws and regulations.

2. Eligibility & Account Registration

  • You represent and warrant that you are at least the minimum legal age in your jurisdiction to form a binding contract and that you have full legal capacity to do so.

  • You agree to provide accurate, current and complete information during registration, and to update that information as needed.

  • You are responsible for safeguarding your account credentials, and for all activities conducted through your account. You must immediately notify us if you suspect any unauthorized use of your account.

  • You may not (unless explicitly permitted) share your account, create more than one account, or use automated or bot‐driven account registration.

  • We reserve the right to suspend or terminate accounts that we deem to violate these Terms or otherwise pose a risk to us or other Users.

3. User Content & License

  • As a User, you may upload, post or otherwise provide content through the Service (“User Content”). You represent and warrant that you have all necessary rights and permissions to do so, and that your User Content does not infringe any third-party rights or violate any laws.

  • By providing User Content, you grant Wapiverse a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, distribute and display your User Content for the purpose of providing and improving the Service.

  • You remain responsible for your User Content. We are not obligated to monitor User Content, but we reserve the right to remove or disable access to any User Content at our discretion, including if it infringes rights of others or violates these Terms.

  • You agree to indemnify and hold Wapiverse harmless from any claim, loss or damage arising out of your User Content or your use of the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation;

  • Infringe any third-party intellectual property, privacy or other rights;

  • Upload, post or transmit any harmful, offensive, abusive, defamatory, or otherwise objectionable content;

  • Use the Service in a way that could damage, disable, overload or impair our infrastructure or interfere with other users;

  • Use the Service for unsolicited messaging/spamming or any activity contrary to good faith commercial or personal communications.

5. Subscriptions, Fees & Payment

You agree not to use the Service to:

  • Violate any applicable law or regulation;

  • Infringe any third-party intellectual property, privacy or other rights;

  • Upload, post or transmit any harmful, offensive, abusive, defamatory, or otherwise objectionable content;

  • Use the Service in a way that could damage, disable, overload or impair our infrastructure or interfere with other users;

  • Use the Service for unsolicited messaging/spamming or any activity contrary to good faith commercial or personal communications.

6. Termination & Suspension

  • You may terminate your account at any time through the mechanism provided in the Service or by contacting us. Termination will not necessarily result in a refund of any prepaid fees.

  • We may suspend or terminate your access immediately, without notice, if you breach these Terms or if we reasonably believe your conduct may harm Wapiverse or others.

  • Upon termination, your right to use the Service will end and any licences granted will terminate. Some provisions of these Terms (such as indemnification, liability limitations, etc.) will survive termination.

7. Intellectual Property

  • All rights, title and interest in and to the Service, including software, documentation, trademarks, patents, trade secrets, and designs, are owned by or licensed to Wapiverse.

  • Nothing in these Terms grants you any right to use Wapiverse’s trademarks, logos or other brand identifiers except as expressly permitted.

  • You may not reproduce, modify, create derivative works of, distribute, sell or lease any part of the Service unless explicitly authorised.

8. Disclaimers & Limitations of Liability

  • THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

  • To the maximum extent permitted by applicable law, Wapiverse disclaims all liability for any indirect, incidental, punitive, special or consequential damages arising from your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

  • In no event will Wapiverse’s total liability to you for any claim exceed the total amount you have paid us in the 12 months preceding the claim (or such shorter period).

  • Some jurisdictions do not permit exclusion or limitation of certain warranties or liabilities; where such laws apply, our liability will be limited only to the extent permissible by law

9. Indemnification

You agree to defend, indemnify and hold harmless Wapiverse, its officers, directors, employees, agents and affiliates from any claim, demand, liability, loss, damages, costs or expenses (including attorneys’ fees) arising out of or in connection with:

  • Your use of the Service;

  • Your violation of these Terms;

  • Your infringement of any third-party rights;

  • Your User Content; or

  • Any other party’s access and use of the Service via your account.

10. Changes to Terms

We may revise these Terms at any time. If a change is material, we will provide reasonable notice prior to the change taking effect. Your continued use of the Service after the change constitutes your acceptance of the new Terms. If you do not agree with the revised Terms, you must stop using the Service.

  • These Terms are governed by the laws of The United State of America without regard to its conflict of laws principles.

12. Miscellaneous

  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time.

  • Entire agreement: These Terms (together with any other documents incorporated by reference) constitute the entire agreement between you and Wapiverse regarding the Service and supersede all prior agreements.
